Read contracts against your rules

Contracts and policies read against your own rules and standard wording, with every change flagged clause by clause, every finding traced to its page, and anything unusual held for your counsel to decide.

Share the contract and your standard

Share the contract and the standard it should meet: your templates, your playbook, the positions your counsel will and will not accept. The system reads every clause against that standard and finds what changed, what is missing and what was added, without anyone marking it up by hand.

Example request

Review this supply agreement against our standard terms. Flag every clause that differs from our wording, with the page and the clause number, and tell me which changes our playbook allows and which need counsel.

  • Every clause read against your standard
  • Changes, gaps and additions flagged
  • Each finding traced to its page and clause

Hold anything unusual

Routine deviations your playbook already covers are noted and accepted. Anything else, a liability cap, an indemnity, a change of governing law, is held for counsel with the clause, your standard position and the history of past agreements attached.

Example request

The liability cap in clause 9.2 is $50k against our $250k standard. Show me every past agreement where we accepted a lower cap, who approved it, and draft a counter position for counsel to review.

  • Routine deviations handled by your playbook
  • Unusual terms held for counsel
  • Past agreements and approvals attached

Keep the record of every decision

Once counsel decides, the system records the position taken, updates the contract register and tracks the obligations the agreement creates. Every decision is logged against the clause it touched.

Example request

Counsel accepted the $100k cap with a carve-out for data breaches. Record the position in the contract register, update our playbook for next time once approved, and list the obligations this agreement creates with their dates.
